shout out to whoever just phoned through to myself at CPW asking about this phone. I explained that there is no way around the £10 top-up but the phone IS unlocked to all networks. So, just take the cheapest one (being the o2 deal) and you can insert any sim card of your choice into it.
Peace.

definitely this, build quality and camera are twice as good as the ultra, not to mention the software on all the motos ive had is excellent and they tend to get fairly timely updates I doubt ultra will see marshmallow...this will for sure if anyone finds a good deal on the 16gb/2gb variant please post I'm in the market for another one!

I have raised this issue with carphonewarehouse as the website states anyone can upgrade, even if you are on a sim only deal. Their answer is you can only buy a payg phone on upgrade with a payg sim that has been active for 6 months! The website is very confusing/misleading to say the least.

I've tried all 3 active sim Numbers in my house. One was ex contract now out of term. Another keeps pestering me for an upgrade 3rd has always been sim only. None are valid for upgrade. Even tried the old sim numbers from the ful lsize sim none work.....

It has to be a pay & go sim that has been in use for at least 6 months. Not contract I'm afraid

Their phones are 100% unlocked (apart from iPhones).
They use the same stock for PAYG, Pay Monthly, and SIM Free. They just pair the phone with whichever SIM the buyer has ordered. The only difference is that with PAYG you will get a SIM (either with top-up or not if its an upgrade), with SIM Free you just get the phone.
A CPW sales representative will probably tell you that the PAYG phones are locked, just because they would prefer you to spend the extra on the £150 SIM Free version.

Thinking of getting either this or Samsung Galaxy A3 from carphonewarehouse on upgrade, Samsung is only £10 more. Would appreciate advice from all of you with experience on these matters, as it would be my first smartphone.

No. They need the sim serial number. If you know someone on o2 or virgin you can use theirs. You can do an upgrade every 6 months. The last time I upgraded I used my sisters voda phone and did it over the phone with no problem.

Yes.
Shouldn't have an upgrade in last 6 months and topped up regularly

great price, need to be on o2 or Virgin for the upgrade. PAYG requires a £10-20 top-up
